What This Notice Means

Your organization is in the process of terminating its private foundation status. The IRS can't complete the termination yet. It needs more information from you.

What to Do

Submit two things by the date indicated on your notice:

  • Form 8940, Request for Miscellaneous Determination.
  • The correct user fee.

Both go through Pay.gov. Create an account there, or log in if you already have one, and submit Form 8940 with the fee.

Pay.gov has a 15MB file size limit for the PDF. If your submission is larger, remove the items over the limit and contact IRS Customer Account Services for instructions on how to send the removed items.

Before You Submit

  • Review the termination procedures in Publication 4779, Facts about Terminating or Merging Your Exempt Organization.
  • Read the Form 8940 instructions so the request is complete the first time.
  • Keep a copy of everything you submit and your Pay.gov confirmation.

Keep Filing While Termination Is Pending

Form 990-PF, Return of Private Foundation, is required from foundations that are making a section 507 termination. Don't stop filing because a termination is underway.

Form 990-PF is due by the 15th day of the 5th month after the end of the foundation's accounting period. For a calendar year foundation, that's May 15 of the following year. If the due date falls on a weekend or legal holiday, the return can be filed the next business day.

Why the Date Matters

The IRS set a date for a reason. If the information doesn't arrive, the termination can't be completed. Treat the date on the notice as your deadline and submit early.
