What This Notice Means

You previously claimed the American Opportunity Tax Credit (AOTC) or the Lifetime Learning Credit (LLC) using an Individual Taxpayer Identification Number (ITIN). The rules changed. You now need a valid Social Security number (SSN) to qualify for these credits.

The CP321L is a heads-up. It doesn't say you owe anything today.

What the New Rule Requires

Beginning with tax year 2026, you (or your spouse, if married filing jointly) and the student, if the student is your dependent, must have a valid SSN. On a joint return, only one spouse needs a valid SSN. The other spouse can have an ITIN.

A valid SSN for these credits must be valid for work and issued by the Social Security Administration before the due date of your 2026 return, including extensions.

If you have more than one student, each student must have a valid SSN and meet the other requirements. You can claim only one education credit per student. You can claim both the AOTC and LLC on the same return only if they're for different students and different expenses.

What to Do

  • Run the IRS Tax Withholding Estimator if you won't meet the SSN requirement.
  • Update your Form W-4 with your employer or make an estimated tax payment if needed.

Why bother? If you counted on this credit in the past and lose it, you could end up with a balance due when you file. Fixing withholding now is cheaper than a surprise bill later.

Prior Years Aren't Affected

The SSN requirement applies to the current year and future years only. It does not change your prior year returns.

Quick Definitions

AOTC is a partially refundable credit for the first four years of post-secondary education, for a student pursuing a degree or other recognized credential.

LLC is a non-refundable credit for students taking courses to get or improve job skills.
