What This Letter Means
Letter 2769 is a no-change letter. Its full title is No Change after Examination of Delinquent Income Tax Return(s). The IRS uses it to close nonfiler cases without an examination report. In plain terms, you filed a late (delinquent) income tax return, the IRS looked at it, and it isn't changing the return.
That's good news. The examination of that return is over without any adjustment.
What to Do
- You don't need to respond.
- Check that the tax year or years on the letter match the late return or returns you filed.
- Keep the letter with your copy of the return and your records for that year.
- Pay any balance still owed for that year. Interest keeps running on unpaid tax.
What About Penalties?
A no-change letter closes the examination of the return. It doesn't by itself erase a balance due. The IRS has a separate letter, Letter 2778, for nonfiler cases closed with no change and the penalty waived. If you were charged a late-filing or late-payment penalty and you had a good reason for filing late, you can ask the IRS to remove it. Check your account transcript or your most recent balance due notice to see what's still owed.
Stay Current
This letter usually follows a period of unfiled returns. File every return on time from here forward. If other years are still unfiled, get them filed. Unfiled years don't go away on their own.
